This publication reviews the key elements needed for successful formation and development of new cooperative businesses. The motivation for and process of forming cooperatives are discussed. Six phases of cooperative formation are presented including: 1) identifying the opportunity, 2) building consensus on the potential for a cooperative, 3) developing trust among potential members, 4) securing member commitment, 5) involving other stakeholders, and 6) starting up the cooperative enterprise. This publication reviews the legal and business structure alternatives available to those forming business structures in New York State. A framework is developed for assessing various business structural options. Six business organizational forms are discussed, including: 1) sole proprietorships, 2) business corporations, 3) general partnerships, 4) limited partnerships, 5) cooperative corporations, and 6) limited liability companies. Cooperatives are unique business organizations. Many of their unique characteristics have a direct impact on how decisions are arrived at as well as the ultimate decision made. This study reviews current literature on cooperatives and decision making. A decision making model is developed to arrive at a set of provisional hypotheses. Fourteen U.S. agricultural cooperatives were studied through interviews with chief executive officers and chairpersons of the board of directors. The organizations in the sample were selected by volume of business, tenure of executives, successful performance and type of organization. What is the impact of democratic control on cooperative decision making? The purpose of this article is to present a conceptual framework for the analysis of democratic control. It suggests that democratic control does not guarantee optimal decisions for the cooperative. Suboptimal decisions result from simple majority rule, the activity of cooperative interest groups, members pursuing their interests to the detriment of the cooperative firm, and management pursuing its interests at the expense of the membership. This paper also outlines strategies cooperatives can adopt to correct the problems due to democratic control. |
